These Terms and Conditions ("Terms") govern your use of the services provided by Kopa Marketing Limited ("Kopa", "we", "us", or "our"), including our website at kopamarketing.com and any related software, platforms, or services (collectively, the "Services"). By purchasing or using our Services, you agree to be bound by these Terms.

1. Services

Kopa provides digital marketing systems for UK trade businesses, including but not limited to: website design and hosting, automated lead follow-up, review generation, marketing campaigns, and local SEO. The scope of services for each client is agreed upon at the time of sign-up and may be updated by mutual agreement.

2. Payment & Subscription

Our standard subscription is billed monthly at £197 per month (or annually where applicable). Payment is due at the start of each billing period. We use third-party payment processors to handle transactions securely. By providing your payment details, you authorise us to charge the applicable fees on the agreed billing schedule.

All prices are inclusive of VAT unless otherwise stated. We reserve the right to change our pricing with 30 days' written notice.

3. Cancellation

You may cancel your subscription at any time by contacting us at info@kopamarketing.com. Cancellations take effect at the end of the current billing period. We do not offer refunds for unused portions of a billing period unless required by applicable law.

4. Your Obligations

You agree to:

• Provide accurate and up-to-date information when setting up your account and throughout the duration of your subscription.
• Use the Services only for lawful purposes and in compliance with all applicable UK laws and regulations.
• Not resell, sublicense, or otherwise transfer your access to the Services to any third party without our prior written consent.
• Keep your account credentials secure and notify us immediately of any unauthorised use.

5. Intellectual Property

All content, software, designs, and materials produced by Kopa as part of the Services remain the intellectual property of Kopa until full payment has been received. Upon full payment, any custom website or creative assets produced specifically for your business are assigned to you. Our proprietary systems, automation tools, and platform remain exclusively owned by Kopa.

6. Results Disclaimer

While we work hard to deliver measurable results for every client, we cannot guarantee specific outcomes such as a defined number of leads, calls, or revenue. Results depend on many factors outside our control, including your industry, location, competition, and how quickly you respond to leads. Any case studies or testimonials on our website represent past results and are not a guarantee of future performance.

7. Limitation of Liability

To the fullest extent permitted by law, Kopa's total liability to you in connection with the Services shall not exceed the total fees paid by you in the three months preceding the claim. We shall not be liable for any indirect, consequential, or special damages, including loss of profit, loss of revenue, or loss of data.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose it to any third party without prior written consent, except as required by law.

9. Termination

We reserve the right to suspend or terminate your access to the Services immediately if you breach these Terms, fail to make payment, or engage in any conduct that we reasonably believe is harmful to Kopa, its clients, or third parties.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
