These Terms and Conditions ("Terms") govern your use of the services provided by Kopa Marketing Limited ("Kopa", "we", "us", or "our"), including our website at kopamarketing.com and any related software, platforms, or services (collectively, the "Services"). By purchasing or using our Services, you agree to be bound by these Terms.

1. Services

Kopa provides digital marketing systems for UK trade businesses, including but not limited to: website design and hosting, automated lead follow-up, review generation, marketing campaigns, and local SEO. The scope of services for each client is agreed upon at the time of sign-up and may be updated by mutual agreement.

2. Payment & Subscription

Our standard subscription is billed monthly at £197 per month (or annually where applicable). Payment is due at the start of each billing period. We use third-party payment processors to handle transactions securely. By providing your payment details, you authorise Kopa Marketing to charge the applicable fees on the agreed billing schedule until cancelled in writing.

All prices are inclusive of VAT unless otherwise stated. We reserve the right to change our pricing with 30 days' written notice.

30-Day Money-Back Guarantee

If you are not satisfied within your first 30 days of paid service, notify us in writing at info@kopamarketing.com before day 30 and we will refund your first month's payment in full. After the 30-day window, all monthly payments are non-refundable. This guarantee applies to your first month of service only and is a one-time offer per client.

3. Cancellation

Your subscription auto-renews each month until cancelled. To cancel, email info@kopamarketing.com. Your cancellation takes effect at the end of your current paid month — you retain full access to your website and connected systems until that date. No partial-month refunds are issued.

Unresponsive messages, missed phone calls, or failure to reply to emails do not constitute cancellation. To be effective, cancellation must be communicated to Kopa Marketing in writing.

4. Your Obligations

You agree to:

• Provide accurate and up-to-date information when setting up your account and throughout the duration of your subscription.
• Use the Services only for lawful purposes and in compliance with all applicable UK laws and regulations.
• Not resell, sublicense, or otherwise transfer your access to the Services to any third party without our prior written consent.
• Keep your account credentials secure and notify us immediately of any unauthorised use.

5. Intellectual Property, Setup Fee & Website Buyout

The website, source code, design, copy, and all connected systems (CRM, automations, missed-call text-back, review funnel, marketing campaigns, and any other integrated infrastructure) built and maintained by Kopa Marketing remain the intellectual property of Kopa Marketing Limited at all times. Your subscription grants you a licence to use the website and connected systems for as long as your account is active.

If your subscription ends for any reason, access to the website and all connected systems is discontinued.

Setup Fee

A standard website of the scope and quality Kopa builds carries a build value of £1,500. This setup fee is waived on all active Kopa Marketing subscriptions — while your account is active, you pay only the monthly subscription fee (£197/month).

Website Buyout

If your subscription ends and you wish to retain the website design, code, and content, the £1,500 setup fee becomes payable as a one-time buyout. Upon payment, ownership of the website design, code, and copy is transferred to you.

The Kopa system, CRM, automations, and all connected marketing infrastructure are proprietary Kopa property and are not included in any buyout. These are terminated at the end of your subscription regardless of whether a buyout is arranged.

The buyout must be requested and paid within 30 days of cancellation. After that window, the website is decommissioned and the buyout option no longer applies. Kopa Marketing may, at its discretion, waive or reduce the setup fee for long-standing clients or on a case-by-case basis.

6. Results Disclaimer

While we work hard to deliver measurable results for every client, we cannot guarantee specific outcomes such as a defined number of leads, calls, or revenue. Results depend on many factors outside our control, including your industry, location, competition, and how quickly you respond to leads. Any case studies or testimonials on our website represent past results and are not a guarantee of future performance.

7. Limitation of Liability

To the fullest extent permitted by law, Kopa's total liability to you in connection with the Services shall not exceed the total fees paid by you in the three months preceding the claim. We shall not be liable for any indirect, consequential, or special damages, including loss of profit, loss of revenue, or loss of data.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose it to any third party without prior written consent, except as required by law.

9. Termination

We reserve the right to suspend or terminate your access to the Services immediately if you breach these Terms, fail to make payment, or engage in any conduct that we reasonably believe is harmful to Kopa, its clients, or third parties.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
